The legal entities are:
- Gesellschaft mit beschränkter Haftung [short term GmbH]. It is similar to the British Ltd. but you need at least a stock capital of 25.000 € of which 12.500 € have been brought into the stock capital at the founding of the company. Beside money (cash) you can contribute assets.
- Unternehmergesellschaft (haftungsbeschränkt) [short term UG (haftungsbeschränkt)] is basically the same as the GmbH but there is not stated any required minium stock from law side. So you can found the company in theory with a stock capital of 1€.
- Aktiengesellschaft – which is a classical stock company.
- Kommanditgesellschaft of Aktien – which is a stock company but in difference to a Aktiengesellschaft the management board is replaced by individual liable shareholders.
The most common private companies are:
- Gesellschaft bürgerlichen Rechts [short term GbR]
- Offenene Handelsgesellschaft [short term oHG]
- Kommanditgesellschaft [short term KG]
Beside that legal forms above there is huge number of smaller business that are running just as “Einzelunternehmer” in Germany, which means that an individual person has registered a business. It is the most simple way to register a business but it there is no limitation for individual liability.
